Art 1. Introduction

Please read these Terms of Service (“Agreement”, "Terms of Service", “Terms”) carefully before using www.bidiffy.com, operated by BIDIF SARL ("us", "we", "our" or "Bidiffy") based in Lome, Togo. This Agreement sets forth the legally binding Terms and Conditions for your use.
Bidiffy is a platform where Tech Talents provide software development and other IT (Tech)-related services to Clients. On Bidiffy, Clients can receive IT-related services help via Freelance Jobs. Clients can also directly recruit IT specialists on demand or definitively.
Our role is to facilitate the availability of the Site and the services provided on the portal. Talents that take on the work provided on our portal are independent contractors and are not employees of Bidiffy. Subject to the terms and conditions set forth herein, BIDIF SARL may, in its sole discretion, modify this Agreement and any other agreements comprising the Terms of Service at any time by posting a revised version on the Site.
Bidiffy will provide reasonable notice of any modification, including a material change, by posting the updated Terms of Service on the Site, by providing notice on the Site, and/or by sending you notice by email.
If the material change includes an increase in the fees charged by Bidiffy, Bidiffy will provide at least 30 days prior notice, but will not provide notice for changes that result in a reduction in fees or any temporary or promotional change in fees.
By accessing or using the Site in any way, including, but not limited to, visiting or browsing the Site or contributing Content or other materials, you agree to be bound by these Terms of Service.
"Bidiffy Client" means any customer or user who requests the help of experts on the Sites or has entered into an agreement with Bidiffy to use our services for Companies. "Bidiffy Talent" means any individual who applies for IT projects or jobs with Bidiffy.

Art 2. Registration and Acceptance

By creating an IT-Talent account on the Bidiffy platform, using the site, or clicking to accept the Terms of Service when prompted on the site, you agree to abide by this Agreement and the other Terms of Service.
To access and use certain parts of the Site and the Site's services, you must create an account. Subject to the Site's Terms of Service, certain portions of the Site are available to visitors, including portions prior to acceptance of your account registration.
Bidiffy reserves the right to refuse registration to the Bidiffy portal or to add an account of any type (customer or talent), for any legitimate reason associated with our business.
If you contact us through Bidiffy as an employee or agent on behalf of a company to use our services, you represent and warrant that you are authorized to enter into binding contracts on behalf of yourself and the compan
Your privacy is important to Bidiffy, and your information will be treated in accordance with our Privacy Policy and applicable laws.

Art 3. Account Eligibility

Art 4. Account Profile

For Talents who want to create an account on our site to join Bidiffy, you must fill in information such as name, first name, and email.
Any Talent account created on the Site implies that you agree to go through the Bidiffy recruitment process. You will be asked to fill out a profile (“Profile”), which you agree to display to Bidiffy’s Customers for the purpose of winning projects and jobs.
You agree to provide true, accurate, and complete information on your Profile and all forms, and to update it as needed. You must not provide any false or misleading information about your identity, qualifications, or location.
Clients with accounts must also comply with these same requirements for accuracy and completeness.

Art 5. Account Opening

You agree not to have or register for more than one account without express permission. Bidiffy may revoke account privileges without notice if false or misleading information is provided.
(1) Customer Account: You cannot open a customer account directly on our platform. If you want one, please request it from us. It will be offered as part of your first service.
(2) Talent Account: You can register as a certified Bidiffy Talent (after passing our recruitment process) or as a potential Bidiffy Talent (currently being recruited).

Art 6. Account Permissions

You may not request or permit another person to create an Account on your behalf, except for an approved staff member.
By permitting other Users under your Account, you confirm they are authorized to act on your behalf and that you are responsible for their actions.
If a User violates the Terms of Service, it may impact your ability to use the Site. Bidiffy reserves the right to close all related accounts in such cases.

Art 7. Email and Passwords

Each person must create their own account. You are entirely responsible for safeguarding your login credentials.
You agree not to share your email or password and allow Bidiffy to assume that anyone using them is you or authorized by you.
You must notify us immediately if you suspect unauthorized use of your account.

Art 8. Role of Bidiffy / Payment

Bidiffy recruits IT-Talents and connects them with Clients who need their services.
The use of Bidiffy is free for Talents. Once recruited, you may be contacted for projects ("on mission"). During missions, you will receive compensation as agreed before the mission begins, paid monthly or at the end of the mission via bank transfer.
Clients are free to select and interview Talents they find suitable. Both Clients and Talents are responsible for evaluating the suitability of any engagement.

Art 9. Limitations of Liability / Termination

Bidiffy makes no warranties regarding the accuracy, reliability, or completeness of the Site.
You acknowledge that you use the Site at your own risk. In no event shall Bidiffy be liable for any special, indirect, or consequential damages, lost profits, or interruptions.
Bidiffy does not guarantee that you will receive any jobs or callbacks and is not your employer or agent.
We may restrict, terminate, or suspend your access to the Site at any time, with or without notice.

Art 10. Intellectual Property

BIDIF SARL is the exclusive owner or rights holder of all content on the platform. The content is protected by copyright and intellectual property laws.
Unauthorized distribution, copying, or modification will be prosecuted under civil and criminal law.
All rights not expressly granted in these Terms are reserved by BIDIF SARL.
You agree to indemnify and hold harmless BIDIF SARL against any claims arising from your breach of these Terms or misuse of the platform.

Art 11. Changes to the Terms of Service

Each connection to the Service is subject to these Terms of Service.
Bidiffy may modify these Terms at any time to reflect service updates or changes in law.
Users will be notified of changes by email or through the platform. The updated Terms will be displayed upon the next login.
